In order for your corporation or LLC to conduct certain business activities in non-US countries it is often required for you to file an apostillized copy of your Articles of Incorporation (for corporations) or Organization (for limited liability companies). Filing an apostille (which is French for “certification”) is the legal process to certify documents for international usage. [This is pursuant to the Convention of 5 October 1961 Abolishing the Requirement of Legalization for Foreign Public Documents]. Apostilles generally validate the document’s country of origin, identities of the signatories, place and dates of certification and the signatures of the authorities issuing the certificates.Why do I need Apostille Service?
To conduct international banking your corporation will require an apostille within the country you intend to conduct business. (Other requirements may also need to be satisfied). Some countries require certified copies of your Articles of Incorporation/Organization with a gold seal. If you’d like to cancel Registered Agent service with InCorp, we have to be removed from public record. Until that’s done we’re basically forced to continue serving and charging for services. You can fill out the proper paperwork to dissolve the entity, withdraw from the state, or change the registered agent on your own, paying nothing to InCorp, or hire InCorp to file the paperwork for you ($99.00 for dissolution plus state fees or $99 to prepare and file a Resignation). If you choose another Registered Agent they should be happy to prepare the forms for you, just make sure they’re aware it has to be done before your service with InCorp renews.

You can cancel whenever InCorp is removed from public record or the dissolution is filed. In order to avoid a renewal invoice, please make sure the filing is completed before the invoice due date. If you hire us to do the dissolution or resignation before your invoice is due, we’ll waive the invoice even if the filing isn’t complete until shortly after. Sorry, no pro-rating if you cancel halfway through the year term.
Unfortunately no, there are rules governing Registered Agents and if we’re listed on public record we usually have to provide service. But a call to our office can get the process started and allow us to make it easier for you.
It’s not that simple. Your company most likely still exists even if it’s not in good standing. The states created their dissolution laws for a reason; they expect the process of winding up to be completed in full. It’s like a marriage… when you get married you file with the state to acquire the marriage license. If things don’t work out and you move out of the house, that doesn’t make you legally divorced. Another filing is required to legally end the marriage. Closing a business is often a negative experience just like divorce. We’re here to help you complete the winding up process, it’s best for everyone.
