What is a Utah registered agent?
Businesses that register as legal entities are required by law in all 50 states to have a registered agent, resident agent, or statutory agent. A Utah registered agent is the designated recipient of service of process (SOP) when a business entity faces legal action, and receives official legal documents from the state regarding the company's operation within Utah. A Utah business must identify its registered agent in its articles of incorporation or organization.
Why are registered agents required for Utah businesses?
Having a registered agent is a requirement for Utah corporations and LLCs, and the same requirement generally extends to limited partnerships, LLPs, LLLPs, nonprofit corporations, professional entities, and other businesses formed or registered by filing with the state. The agent must be located and available at a physical street address within Utah during normal business hours — a mailbox service or P.O. Box cannot represent you. Failing to establish and maintain a registered agent can jeopardize your company's legal status in the state and lead to unnecessary expense.

- The state of Utah requires LLCs and corporations filed in Utah to have a Registered Agent. Utah Registered Agents are a person or company designated on public record to accept legal documents (service of process) and notifications from the Utah Division of Corporations and Commercial Code on behalf of the corporate entity. There are few restrictions regarding who can be listed as a Registered Agent, the most important being that the Registered Agent must be located and available at a physical street address, within the state of Utah, during normal business hours. Utah recognizes Commercial Registered Agents and has adopted the Model Registered Agent Act.
- Your Utah Registered Agent will be responsible, on your behalf, to receive all government notifications sent to Registered Agents, annual report notices, and litigation (service of process) documents. In Utah, InCorp's address is for Registered Agent service only.
