What Is a Registered Agent?

Registered agents, resident agents, or statutory agents can go by slightly different names depending on the state in which you operate your business, but they all provide the same basic services. A registered agent is a designated individual or state-qualified corporate agent that receives official legal notices from the state of Maine on behalf of your business. Maine registered agents are also responsible for the reception of service of process communications (SOP), on behalf of your business should it be the target of legal action brought forth by a third party. All 50 states require that every business that is recognized as a legal entity have a designated registered agent that will receive these types of communications on behalf of the business. Having a Maine registered agent will protect your business from liabilities involved with missing important legal notices from the state or service of process communications. Registered agents are a necessary and essential part of responsibly operating a business that keeps you in compliance with Maine law.

What Does a Registered Agent Provide for Your Maine Business?

Having a registered agent is a legal requirement every time a Maine Corporation or LLC is registered. You must select a reliable company to act as your Maine registered agent. Failing to establish and maintain a registered agent can have negative effects on the legal status of your company within the state and result in extra, unnecessary expenses. The person or entity must be located and available at a physical street address within the state of Maine during normal business hours. A mailbox service or P.O. Box cannot represent you as your registered agent.

How Registered Agent Service Can Help Your Business

  • Legal Notifications

A Maine registered agent will oversee the reception of important legal notifications for your business. Having important documents such as your annual filing notices, SOP (service of process), etc., sent to a home or business address is associated with the risk of losing or misplacing this important mail. Your Maine registered agent will provide an official address within the state where this mail will be sent and guarantee that it will be handled professionally and in compliance with the law and any associated legal procedures.

  • Flexibility

Having a registered agent allows you flexibility regarding how you choose to run your business. Hiring a Maine registered agent will allow you to remain compliant by having the ability to receive official legal notices at any time during standard business hours without being physically present or even having a physical business location. Suppose you do have a physical business location and decide to relocate. In that case, you will not even need to update your address with the state to continue receiving official mail. Your Maine registered agent provides an official designated address, along with the availability throughout standard business hours as required by Maine law.

  • Privacy

When you have a registered agent, you can help secure the privacy of your personal address. For example, if you were to use your home address to receive official legal notices on behalf of your business, your home address would be published within public directories. With a Maine registered agent, you will be using an officially designated address within Maine's borders to receive all of your important legal notices. This service can help keep your home address safe and private.

Having a registered agent is required in almost every state. The purpose is for the state to show a physical address in that state at which the company can be served with legal documents. We also receive notifications from many states and help you keep your company in good standing. An added benefit is the security of knowing InCorp is here to fulfill this requirement and provide you with a little more privacy.

Learn More

When hiring InCorp as your commercial registered agent, we do not automatically file your documents to register your entity with the state. Formation and qualification filings are separate services, and we will be happy to prepare the entire filing for you once the additional service has been purchased. Our order processing team members will automatically provide consent forms for the states that require them, and we're here to help with Registered Agent Change forms at no additional charge if you'd like our assistance.

In most cases, yes, but we do require that you also be filed with the Secretary of State. Some agencies have requirements that we can't meet, like an address in a specific county or an individual serving instead of InCorp as a company. If you send over the document we'll review it to make sure we can meet the requirements.

The first thing is to order service. Once your order is placed and you have received the confirmation email, please contact our order processing team to proceed. Some states require our signature but it does not have to be a mailed original so you can just reply to your order confirmation with the document attached and we'll sign and return it to you. Other states require our original signature, in which case you can email us the document, we will sign it and mail it to you for submission to the state. Alternatively, you can mail us the complete package of documents and state payment and we will sign and forward the package to the state for you. A few states, like Wyoming, require a separate Registered Agent Consent form. We'll send that directly to you after your order is placed. Please call our order processing team or email us with any additional questions or concerns.

The general rule is that InCorp only serves as a Maine registered agent for entities registered with the Secretary of State. We can serve for other agencies as well but need to be listed with the Secretary of State, also. When looking for a registered agent for an individual, we recommend using an attorney or law office.
