What Does a Registered Agent, Resident Agent or Statutory Agent Do?

Depending on the state that you do business in, your business will be required to have a registered agent, a resident agent, or a statutory agent, which will be identified within your business's articles of incorporation/organization. The label notwithstanding, all of these titles fulfill the same required functions for your business.

So, what does a registered agent do? A registered agent is an individual or state-qualified corporate agent in charge of receiving important legal documents from a state office or entity on behalf of your registered business. They are also tasked with receiving service of process (SOP) if legal action is taken against a business entity. All 50 US states require that all businesses registered with the state as legal entities have a registered agent.

Why You Need a Registered Agent in New Jersey

Having a registered agent is a requirement every time you register a new Corporation or LLC in New Jersey. You must select a reliable company to act as your registered agent. Failing to establish and maintain a registered agent can have negative effects on the legal status of your company within New Jersey and result in extra, unnecessary expenses. The entity or individual must be located and available at a physical street address within the borders of New Jersey during normal business hours. A mailbox service or P.O. Box is not allowed to represent you as your registered agent.

Why choose InCorp for your Nationwide Registered Agent Service?

Created in 1998, we now have over 250,000 worldwide clients and are BBB rated A+. We will beat any competitor's price on registered agent service and offer incredible discounts on multi-year and multi-state national registered agent services.

How Registered Agent Service Can Help Your Business

  • Legal Notifications

A registered agent provides you with an official address to receive your annual filing notices and other legal notices, handling them correctly and with compliance. Having important notices sent directly to your business location or home has many risks such as important mail being misplaced.

  • Flexibility

With a registered agent, you will not need to maintain a physical business location or hours. Having a registered agent keeps you compliant with receiving legal notices by always being available during normal business hours. If you change your business address or move in the future, you will not need to update your business information with the state of New Jersey.
