What Is a Registered Agent?

Registered agents, resident agents, or statutory agents go by slightly different names depending on the state in which you operate your business, but they all provide the same basic services for your business. A Wisconsin registered agent is a designated individual or state-qualified corporate agent that receives official legal notices from the state of Wisconsin on behalf of your business. Registered agents are also responsible for the reception of service of process communications (SOP), should your business in Wisconsin be the target of legal action brought forth by a third party. All 50 states require that all businesses that are recognized as legal entities have a designated registered agent that will receive these types of communications on behalf of the business. Having a Wisconsin registered agent will protect your business from liabilities involved with missing important legal notices from the state or service of process communications. Registered agents are a necessary and essential part of responsibly operating a business that keeps you in compliance with Wisconsin law.

What Does a Registered Agent Provide for Your Business?

Having a registered agent is a requirement every time you register a new Wisconsin corporation or LLC. You should select a reliable and knowledgeable company to act as your Wisconsin registered agent. Failing to establish and maintain a registered agent in Wisconsin can have negative effects on the legal status of your company within the state and result in extra, unnecessary expenses. The person or entity must be located and available at a physical street address within the state of Wisconsin during normal business hours. A mailbox service or P.O. Box cannot represent you as your registered agent.

How Registered Agent Service Can Help Your Business

  • Legal Notifications

A Wisconsin registered agent is responsible for the reception of important legal notifications on behalf of your business through the use of an official address within Wisconsin's borders. This avoids many risks associated with receiving this type of documentation, such as your annual filing notices, SOP (service of process), and other important legal notifications, at your home or business address. In addition, having a registered agent receive these important documents on behalf of your business will ensure that the mail is securely received, handled correctly, and with the proper legal procedures that are in compliance with the Wisconsin law.

  • Flexibility

Having a registered agent grants you and your business a high degree of flexibility. Maintaining a physical business location or being present during standard business hours to receive official legal notifications is unnecessary. With a Wisconsin registered agent, you will be compliant with the law and always be available during standard business hours. You can receive all of your official legal notifications without being there yourself or even having an actual physical business location. If you have a physical business location and decide to relocate, you will not need to update your information with the state because of the address your registered agent provides.

This service keeps your home address safe and secure and helps to protect your privacy.

Having a registered agent is required in almost every state. The purpose is for the state to show a physical address in that state at which the company can be served with legal documents. We also receive notifications from many states and help you keep your company in good standing. An added benefit is the security of knowing InCorp is here to fulfill this requirement and provide you with a little more privacy.

Learn More

When hiring InCorp as your commercial registered agent, we do not automatically file your documents to register your entity with the state. Formation and qualification filings are separate services, and we will be happy to prepare the entire filing for you once the additional service has been purchased. Our order processing team members will automatically provide consent forms for the states that require them, and we're here to help with Registered Agent Change forms at no additional charge if you'd like our assistance.

In most cases, yes, but we do require that you also be filed with the Secretary of State. Some agencies have requirements that we can't meet, like an address in a specific county or an individual serving instead of InCorp as a company. If you send over the document we'll review it to make sure we can meet the requirements.

The first thing is to order service. Once your order is placed and you have received the confirmation email, please contact our order processing team to proceed. Some states require our signature but it does not have to be a mailed original so you can just reply to your order confirmation with the document attached and we'll sign and return it to you. Other states require our original signature, in which case you can email us the document, we will sign it and mail it to you for submission to the state. Alternatively, you can mail us the complete package of documents and state payment and we will sign and forward the package to the state for you. A few states, like Wyoming, require a separate Registered Agent Consent form. We'll send that directly to you after your order is placed. Please call our order processing team or email us with any additional questions or concerns.

The general rule is that InCorp only serves as a Wisconsin registered agent for entities registered with the Secretary of State. We can serve for other agencies as well but need to be listed with the Secretary of State, also. When looking for a registered agent for an individual, we recommend using an attorney or law office.
