What is a New York registered agent?
Businesses that register as legal entities are required by law in all 50 states to have a registered agent, resident agent, or statutory agent. A New York registered agent is the designated recipient of service of process (SOP) when a business entity faces legal action, and receives official legal documents from the state regarding the company's operation within New York. A New York business must identify its registered agent in its articles of incorporation or organization.
How service of process works in New York
New York works differently: the state designates the Secretary of State as every corporation's and LLC's agent for service of process (BCL § 304), and appointing a separate registered agent is optional (BCL § 305). Many businesses appoint one anyway - a registered agent receives lawsuits at a monitored address the same day they arrive, instead of waiting on the state's mail forwarding to whatever address is on file.
