What Is a Registered Agent?

Businesses that register as legal entities are required by law in all 50 states to have a registered agent, a resident agent, or a statutory agent. Depending on what state you operate your business out of, the role may go by a different name, but they all perform the same basic needs for your business. A Utah registered agent is an individual or legal entity that is the designated recipient of service of process (SOP) when a business entity faces legal action from another party. They are also responsible for receiving official legal documents on behalf of a business from the state of Utah regarding the company's operation within the state. Having a registered agent protects a business entity from missing service of process communications regarding legal actions taken against them and other critical legal communications from the state. Businesses must identify their registered agent in their Utah articles of organization or incorporation.

Why Does a Utah Business Need a Registered Agent, and What Do They Do?

Having a registered agent is a requirement every time you register a new corporation or LLC with the state of Utah. You should select a dependable and experienced company to act as your Utah registered agent. Failing to establish and maintain a registered agent can have negative effects on the legal status of your company within the state and result in extra, unnecessary expenses. The person or entity must be located and available at a physical street address within the state of Utah during normal business hours. A mailbox service or P.O. Box cannot represent you as your registered agent.

How Registered Agent Service Can Help Your Business

  • Legal Notifications

A Utah registered agent is responsible for the reception of important legal notifications on behalf of your business through the use of an official address within the borders of Utah. This avoids many risks associated with receiving this type of documentation, such as your annual filing notices, SOP (service of process), and other important legal notifications, at your home or business address. In addition, having a registered agent receive these important documents on behalf of your business will ensure that the mail is securely received, handled correctly, and with the proper legal procedures that are in compliance with Utah law.

  • Flexibility

Through a registered agent, you will be compliant with the law by always receiving legal notifications during standard business hours. Being present during standard business hours and having a physical location will not be necessary, as your Utah registered agent will provide this service for you at an officially designated address. This service gives you much flexibility in how you operate your business. For example, suppose you have a physical business location and decide to relocate, with a Utah registered agent, you will not be required to update this information with the state in order to continue receiving official documents.

"InCorp helped me navigate the details and potentially confusing amount of filing and paperwork that I would have otherwise had to figure out for myself... this was invaluable."

  • Privacy

When you have a registered agent, you can help secure the privacy of your personal information. For example, if you were to use your home address to receive official legal notices on behalf of your business, your home address would be published within public directories. With a Utah registered agent, since you will be using an officially designated address to receive all of your important legal notices, this service can help keep your home address safe and private.

Having a registered agent is required in almost every state. The purpose is for the state to show a physical address in that state at which the company can be served with legal documents. We also receive notifications from many states and help you keep your company in good standing. An added benefit is the security of knowing InCorp is here to fulfill this requirement and provide you with a little more privacy.

Learn More

When hiring InCorp as your commercial registered agent, we do not automatically file your documents to register your entity with the state. Formation and qualification filings are separate services, and we will be happy to prepare the entire filing for you once the additional service has been purchased. Our order processing team members will automatically provide consent forms for the states that require them, and we're here to help with Registered Agent Change forms at no additional charge if you'd like our assistance.

In most cases, yes, but we do require that you also be filed with the Secretary of State. Some agencies have requirements that we can't meet, like an address in a specific county or an individual serving instead of InCorp as a company. If you send over the document we'll review it to make sure we can meet the requirements.

The first thing is to order service. Once your order is placed and you have received the confirmation email, please contact our order processing team to proceed. Some states require our signature but it does not have to be a mailed original so you can just reply to your order confirmation with the document attached and we'll sign and return it to you. Other states require our original signature, in which case you can email us the document, we will sign it and mail it to you for submission to the state. Alternatively, you can mail us the complete package of documents and state payment and we will sign and forward the package to the state for you. A few states, like Wyoming, require a separate Registered Agent Consent form. We'll send that directly to you after your order is placed. Please call our order processing team or email us with any additional questions or concerns.

The general rule is that InCorp only serves as a Utah registered agent for entities registered with the Secretary of State. We can serve for other agencies as well but need to be listed with the Secretary of State, also. When looking for a registered agent for an individual, we recommend using an attorney or law office.
